Terms of service
The agreement between you and us. The parts that matter most: your documents stay yours, extraction is machine output that you need to check before relying on it, and our liability is capped at what you paid us.

1. Who this agreement is with
These terms are between you and Lumen Holdings LLC, a Wisconsin limited liability company, which operates LedgerBox. "We" and "us" mean Lumen Holdings LLC. "You" means the person or company using the service. By creating an account or using LedgerBox, you accept these terms. If you are accepting on behalf of a company, you confirm you are authorized to bind it.
2. The service
LedgerBox extracts structured data from financial documents you upload and lets you review, export, and optionally send that data to connected accounting systems. We may change or improve the service over time. If we remove something you materially depend on, we will give you reasonable notice.
3. Your account
You are responsible for what happens under your account, for keeping your credentials secure, and for the people you invite into your organization. Tell us promptly if you believe your account has been compromised. You must be at least 18 and must not use LedgerBox where doing so would break the law.
4. Your documents stay yours
You keep all rights to the documents you upload and the data extracted from them. You grant us only the licence we need to run the service: to store, process, and transmit your documents so we can extract data, show it to you, and export it where you ask. That licence exists to operate LedgerBox and for nothing else.
We do not use your documents to train AI models, and our AI vendors are contractually barred from doing so. See the privacy policy for exactly who processes your documents and where.
You confirm you have the right to upload what you upload, and that doing so does not break any law or any duty you owe someone else. This matters if you are handling documents on behalf of clients.
5. Accuracy, and what you must do about it
Extraction is performed by AI models and will sometimes be wrong. It can misread a figure, a date, or a description, and it can be confidently wrong. LedgerBox gives you a review step for exactly this reason.
You are responsible for reviewing extracted data before relying on it, filing it, sending it to your accounting system, or giving it to a client or an authority. LedgerBox is a tool that speeds up data entry. It is not an accountant, an auditor, or a source of financial, tax, or legal advice, and nothing it produces should be treated as any of those.
6. Acceptable use
You must not:
- Upload documents you have no right to upload.
- Break the law, infringe anyone's rights, or upload malware.
- Attempt to breach, overload, or reverse engineer the service, or work around usage limits or access controls.
- Resell or white-label the service without our written agreement.
- Scrape or bulk-extract the service outside the documented API.
We may suspend an account that breaks these rules, or that puts the service or other customers at risk. Where practical we will warn you first.
7. Plans, payment, and price changes
Paid plans are billed in advance on a monthly or annual cycle and renew automatically until cancelled. Usage beyond your plan's allowance is billed as described on the pricing page. Fees are exclusive of taxes, which you are responsible for where they apply.
You can cancel at any time. Cancelling stops the next renewal and you keep access for the rest of the period you have paid for. Payments already made are not refunded except where the law requires it or we agree otherwise in writing.
If we change the price of a plan you are on, we will tell you at least 30 days before it applies to you, and the new price takes effect at your first renewal after that notice period. If you do not want the new price, cancel before that renewal.
We may suspend access to paid features if payment fails and is not resolved after we have told you.
8. Third-party integrations
If you connect a third-party system such as QuickBooks Online, you authorize us to exchange data with it on your behalf. Those systems are governed by their own terms and we are not responsible for how they behave, for their availability, or for what they do with data once it reaches them. You can disconnect an integration at any time.
9. Availability
We work to keep LedgerBox available, but we do not promise uninterrupted service. Maintenance, third-party outages, and failures happen. Unless we have signed a separate agreement with you, there is no uptime commitment and no service credit.
10. Confidentiality and security
We treat your documents as confidential and protect them as described in the privacy policy. You agree to keep confidential any non-public information we share with you about the service.
11. Disclaimer of warranties
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, secure, error-free, or that extracted data will be accurate or complete.
12. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if warned such damages were possible.
Our total liability arising out of or relating to these terms or the service is limited to the amount you actually paid us in the 12 months before the event giving rise to the claim.
In particular, and without limiting the above, we are not liable for losses arising from your reliance on extracted data that you did not review, since section 5 makes that review your responsibility.
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you. Nothing here excludes liability that cannot be excluded by law.
13. Indemnity
You will defend and indemnify us against claims, damages, and reasonable costs arising from your use of the service in breach of these terms, from documents you had no right to upload, or from your violation of law or of someone else's rights.
14. Termination
You can close your account at any time. We can suspend or terminate an account for a material breach of these terms, for non-payment, or if required by law, and we will give notice where it is practical to do so. After termination you can export your data for a reasonable period, after which it is deleted as described in the privacy policy. Sections 4, 5, and 11 through 16 survive termination.
15. Changes to these terms
We may update these terms. If a change materially affects your rights, we will give you notice by email or in the app before it takes effect. Continuing to use LedgerBox after that means you accept the updated terms. The date at the top of this page reflects the current version.
16. Governing law and disputes
These terms are governed by the laws of the State of Wisconsin, without regard to its conflict of laws rules. Any dispute will be brought exclusively in the state and federal courts located in Waukesha County, Wisconsin, and both parties consent to the jurisdiction of those courts.
Before filing anything, please contact us at contact@ledgerbox.io. Most problems are faster to fix by email than in court.
17. General
These terms, together with the privacy policy, are the entire agreement between us about the service. If a provision is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not assign these terms without our consent; we may assign them in connection with a merger or sale of the business.
